1. Payment Structure

Each Participant shall pay monthly installments over a twelve (12) month period. A processing fee of three percent (3%) will be applied to all installment charges.

1.1 Shoot From Phone Experience

Participants who choose the "Shoot From Phone" experience will begin their monthly installment plan immediately upon enrollment.

2. Installment Due Dates and Proration

Installments are due regardless of whether the Participant has chosen to launch their Ecosystem.

The first installment will be prorated. All subsequent payments will be processed on either the seventh (7th) or the twenty-first (21st) day of each month, depending on the Participant's initial payment schedule.

3. Delinquent Payments and Service Suspension

3.1 Late Payment Policy

In the event a Participant becomes delinquent in making a monthly installment payment, and the delinquency is not cured within ten (10) calendar days, all Ecosystem assets, including hosted websites, App access, and online content, will be temporarily suspended.

Participants will be responsible for and agree to pay all legal fees and costs in the collection of overdue payments under this Agreement.

3.2 Service Termination for Continued Non-Payment

If a payment remains delinquent for an additional fifteen (15) calendar days, all services related to the Ecosystem will be terminated, and the remaining balance for the twelve (12) month term will become immediately due.

4. Dispute Resolution for Service Issues

4.1 Good Faith Dispute

If WOWMi fails to deliver a service level as outlined in the Agreement, the Participant may withhold the disputed portion of the invoice within thirty (30) days of receiving the invoice. The Participant must provide written notice, including the basis for the dispute, within ten (10) days.

4.2 Efforts to Resolve Disputes

Both parties will make reasonable efforts to resolve billing disputes within thirty (30) days of the Participant’s written notice. If the dispute remains unresolved, either party may submit the issue for resolution upon written notice.

4.3 Payment Following Resolution

If a resolution is reached and the Participant fails to pay the agreed-upon amount within fifteen (15) days, the Participant will lose access to and use of the services.

5. Delivery and Payment Terms

5.1 Payment Information

You agree to provide WOWMi with accurate payment information, including a current, valid credit card number, expiration date, and other payment-related details. By submitting your payment information via the WOWMi Portal, you authorize WOWMi to automatically charge your credit card for all charges applicable to your use of the Service (“Fees”). If your credit card is canceled or expires, you must promptly provide updated payment information to maintain uninterrupted access.

5.2 Fee Commitment

Upon accepting this Agreement, you agree to pay the Fees for the Service as outlined in your installment plan or subscription agreement, covering a 12-month Subscription Term as defined in Section 2.

5.3 Non-Refundable Fees

We’re committed to your satisfaction and offer a 30-day money-back guarantee for all users, subject to these terms:

• Eligibility: You may request a refund within 30 days from the start of your subscription or installment agreement.
• Full Refund: If you have not used the Service (e.g., no logins or content creation, such as videos), we will refund 100% of your paid Fees.
• Partial Refund: If you have used the Service (e.g., created a video or engaged with tools), we will refund one month’s subscription Fee only. Additional payments beyond the first month are non-refunded.
• Debrief Requirement: To process your refund, you must participate in a brief debrief call with a WOWMi representative to share your reasons for cancellation. Your feedback helps us improve our Service.

5.4 Refund Policy Outside Guarantee

Except as provided in Section 5.3, all Fees are non-refunded. You will retain access to the Service until the end of your Subscription Term, and no credits or refunds will be issued for outages, disruptions, or dissatisfaction with the Service’s operation, capability, installation, or repair.

5.5 Late Payment and Consequences

Failure to make a payment within 10 days of its due date may result in suspension of your access to the Service until payments are current. WOWMi may pursue legal remedies to recover outstanding balances, including collection costs and reasonable attorney fees. Reversing charges for any Fees may lead to immediate termination, and any payments for the remaining Subscription Term will become due immediately, as outlined in Section 7. WOWMi may reactivate your Service upon full payment of outstanding amounts and any applicable reactivation fees, at its discretion.

5.6 Taxes and Fees

You agree to pay all applicable sales, use, or other taxes, fees, or charges required by federal, state, or local laws related to the Service, unless otherwise stated in this Agreement.

5.7 Changes to Fees

WOWMi may modify its Fees at any time, with written notice to you via email or other written communication. Continued use of the Service after such notice constitutes acceptance of the revised Fees.
